if the boss of a pvt.ltd co. gives the POA to an employee ; can that employee (do the misuse of the POA) and transfer the shares and ownership in his name or other’s name ?

If the owner gives another individual power of attorney, it gives the person the power to act on behalf of the owner. However, the person having a POA has the authority to manage property but not sell it.

No. The person holding POA cannot transfer the shares in his name. As mentioned earlier, he has the right to manage property but not sell it.
